Please read these Terms of Service ("Terms") carefully before engaging CrossSpace's services or using our website. By accessing our website or entering into a service agreement with CrossSpace, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. About CrossSpace
CrossSpace ("Company", "we", "us", or "our") is a technology company incorporated in Hong Kong. We provide AI technology consulting, custom AI development, and related technology support services to enterprise clients.

2. Services
CrossSpace provides the following categories of services:
- Technology Consulting: Strategic AI adoption planning, system design, and technology roadmap development;
- Custom AI Development: Design and development of bespoke AI systems, knowledge bases, and automation of business processes;
- Integration Services: Integration of AI systems with a client's existing systems and data sources;
- Technical Support: Ongoing maintenance, optimization, and support for delivered systems.
The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate written agreement ("Service Agreement") between CrossSpace and the client.
3. Engagement and Agreements
All service engagements are governed by a written Service Agreement that specifies:
- Project scope and deliverables;
- Milestones and delivery schedule;
- Fees and payment terms;
- Intellectual property arrangements;
- Confidentiality obligations;
- Any specific terms applicable to the engagement.
In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall prevail with respect to the specific engagement.
4. Fees and Payment
CrossSpace's fees are customized for each engagement based on project scope, complexity, and duration. All fees are agreed upon in writing before work commences.
- Fees are typically structured on a milestone-delivery basis;
- Invoices are issued upon completion of agreed milestones;
- Payment terms are specified in the Service Agreement (typically net 14–30 days);
- All fees are quoted exclusive of applicable taxes unless otherwise stated;
- Late payments may incur interest charges as specified in the Service Agreement.
5. Intellectual Property
CrossSpace's IP: CrossSpace retains ownership of its proprietary platform, methodologies, tools, and pre-existing intellectual property ("CrossSpace IP").
Client's IP: Clients retain ownership of their pre-existing data, content, and intellectual property provided to CrossSpace for the purpose of the engagement.
Deliverables: Ownership of custom deliverables developed specifically for a client is addressed in the Service Agreement. Unless otherwise agreed in writing, CrossSpace grants the client a license to use the deliverables for their internal business purposes.
6. Confidentiality
Both parties agree to maintain the confidentiality of the other party's confidential information disclosed during the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
This obligation survives the termination of any Service Agreement for a period of three (3) years.
7. Warranties and Representations
CrossSpace warrants that:
- Services will be performed with reasonable skill and care;
- CrossSpace has the right to provide the services and grant the licenses described herein;
- Services will be performed in compliance with applicable laws.
CrossSpace does not warrant that services will be uninterrupted, error-free, or that specific business outcomes will be achieved. AI systems involve inherent uncertainty and results may vary.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- CrossSpace's total liability for any claim arising from or related to these Terms or a Service Agreement shall not exceed the total fees paid by the client in the three (3) months preceding the claim;
- CrossSpace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities;
- These limitations apply regardless of the legal theory under which the claim is brought.
9. Refund Policy
Please refer to our Refund Policy for detailed information regarding refunds. In summary:
- CrossSpace provides technology consulting and development services delivered in milestones;
- Completed and accepted milestones are generally non-refundable;
- Clients who believe there has been a billing error or have special circumstances may contact us to review their case.
10. Termination
Either party may terminate a Service Agreement as specified therein. Upon termination:
- The client shall pay for all work completed and accepted up to the termination date;
- CrossSpace shall deliver all completed work product to the client;
- Confidentiality and IP provisions survive termination.
11. Governing Law and Dispute Resolution
These Terms and any Service Agreements are governed by the laws of Hong Kong Special Administrative Region. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
The parties agree to first attempt to resolve disputes through good-faith negotiation before commencing legal proceedings.

By accessing our website, you agree to:
- Use the website only for lawful purposes;
- Not attempt to gain unauthorized access to any part of the website or its systems;
- Not use the website to transmit harmful, offensive, or unlawful content;
- Not reproduce, distribute, or modify website content without our prior written consent.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
